Terms of Use

SolinstCloud.com is owned and operated by Solinst Canada Ltd. (Solinst). The terms of use govern your access to and the use of SolinstCloud.com and are a binding agreement between Solinst and the user, as defined below in the “SolinstCloud.com User Levels” section. This agreement takes effect when you create a user account for SolinstCloud.com. If you are entering into this agreement for an entity, such as the company you work for, you represent to Solinst that you have the legal authority to bind that entity to this agreement. Solinst reserves the right, at our discretion, to change, add, remove, or otherwise, modify portions of these terms and conditions at any time. Your continued use of SolinstCloud.com following the posting of changes to these terms and conditions, means you accept those changes.

 

Privacy Policy

This privacy policy applies to information collected through the domain SolinstCloud.com.

Your name, email address and company name are shared with the payment processor if you are registered as an "account manager" as defined in the "SolinstCloud.com User Levels" section below. Your name, company name, country, phone and email address are shared with Solinst.com email service provider(s) and marketing automation systems, in order to facilitate updates and notifications.

SolinstCloud.com customer notifications, product documentation, marketing related updates and support materials are handled under the domain solinst.com. For solinst.com privacy policy information, please visit https://www.solinst.com/about/privacy-policy.php Use of SolinstCloud.com means that you accept the terms and conditions of both SolinstCloud.com and the Solinst.com Privacy Policy, as both domains are integrated in an effort to provide optimal customer support and service.

 

Security

Solinst takes precautions to protect your information. When you submit information via SolinstCloud.com, your information is protected while transmitted online and stored offline.

Only Solinst employees who need the information to perform a specific job (for example, billing, customer service and product development) are granted access to personally identifiable information. The computers/servers in which we store personally identifiable information are kept in a secure environment.

 

SolinstCloud.com User Levels

Account Manager: (only 1 person)

  • billing and admin
  • can invite Account Editors and Account Members
  • can remove users from the Account
  • can create & delete projects
  • can add/remove users to/from all projects
  • can view data from all projects

 

Account Editor: (any number of people)

  • Same as Account Manager, minus billing access

 

Account Member: (any number of people)

  • can upload data for review by a Project Manager
  • no data access unless added to a project

 

Any Account user above can be added to any number of projects with a per-project role as follows:

Project Manager:

  • can add/remove users to/from the project
  • can edit all loggers and telemetry settings for the project, and project data stored in Cloud
  • can delete the project, and all project data stored in Cloud

 

Project Member:

  • can edit all logger and telemetry settings for the project, but not data stored in Cloud
  • can view project data stored in Cloud

 

Pricing and Tier Structure

Pricing for SolinstCloud.com services is based on the tiered structure outlined below. Solinst reserves the right, at its sole discretion, to modify or adjust its pricing structure for SolinstCloud.com services at any time. Should any changes in pricing occur, Solinst will endeavor to provide customers with reasonable advance notice of such changes via email or notifications on the SolinstCloud.com platform. Your continued use of SolinstCloud.com services following any price adjustment signifies your acceptance of and agreement to the new pricing structure. It is your responsibility to regularly review the terms and conditions, including pricing, to stay informed of any changes. If you do not agree with the pricing adjustments, your only remedy is to discontinue using SolinstCloud.com services.

T0: <10 MB
T1: 10 MB - 500 MB
T2: 500 MB - 1 GB
T3: 1 GB - 10 GB
T4: 10 GB - 50 GB

NOTE: Customers will automatically be moved to the next tier when data limits are passed.

 

Leap Year Billing Adjustment: In the event that a customer upgrades their plan during a leap year, the prorated billing amount will be calculated based on the actual number of days in the calendar year, including February 29th, and applied accordingly. This adjustment will cover the cost of service for the extra day, February 29th.

 

Scope of SolinstCloud.com Services

Solinst agrees to provide access to SolinstCloud.com, accessible only by Solinst and its suppliers. Customers are responsible to manage account user access levels for SolinstCloud.com. Service levels are subject to all limitations of liability contained herein. Solinst will take appropriate actions to provide the customer with access to SolinstCloud.com, 24-7-365, excluding periods of planned maintenance, upgrades, or emergency services. Solinst may provide maintenance and upgrades to SolinstCloud.com, including customer accounts, during an update window, unless deferral of such maintenance or upgrades, would materially and adversely affect the performance of SolinstCloud.com.

Solinst will endeavor to provide notice to customers of scheduled maintenance updates or service outages arising from unforeseen circumstances via email communication, using a Solinst.com email address.

No data analysis, consulting or other services are provided by Solinst to the customer. The customer acknowledges and agrees that Solinst does not review, edit, investigate, confirm or analyze customer data nor does it exercise any form of control over customer data, other than specific collection and storage services set forth herein.

 

Scope of Customer Responsibilities

Customer agrees to designate a single individual as the Account Manager, who will be bound to this agreement and be held responsible for managing the company's usernames and passwords for their SolinstCloud.com account. Solinst is authorized to update customer user profiles, approve new ones, and have the ability to close customer user accounts. Customer shall keep full and accurate records of all issued passwords and customer IDs (active and inactive). The right to use passwords or customer IDs ends immediately upon termination of the agreement. Customer is responsible for issuing, administering, updating, and ensuring that proper security measures are in effect with respect to all passwords and customer IDs.

Customer is responsible for ensuring that each of their authorized users is aware of and complies with this agreement.

 

Ownership

We acknowledge that any raw data transferred to the SolinstClound.com site, shall remain the property of the customer. All other content, including SolinstCloud.com graphics, images, logos, audio video, clips, digital downloads, data, compilations, and software, is the property of Solinst, and is protected by the laws of Canada and other countries and international treaties.

 

License and SolinstCloud.com Use

Solinst grants you a limited license to access and make use of SolinstCloud.com. In addition, you have the right to sub license the use of the site to your customers provided that all use by your customers will be governed by these and conditions.

 

Availability

SolinstCloud.com services and site access rely upon the availability of cellular, satellite, internet, and other forms of electronic communications. You acknowledge that these varying forms of electronic communications are provided by third parties, and are susceptible to periodic outages that are beyond the control of Solinst. You agree to not hold Solinst responsible for damages or delays caused by disruptions to the communications or hosting services. You are encouraged to download your information from the site on a regular basis in order to avoid potential loss of information.

 

Disclaimer

SolinstCloud.com is provided as is, and without warranties of any kind, either express or implied, to the fullest extent permissible pursuant to applicable law. Solinst does not warrant that functions contained on SolinstCloud.com will be uninterrupted or error free, that defects will be corrected or that the site or the servers that make the site available, are free of viruses or other harmful components. Solinst does not warrant or make any representations regarding the use of information on the site in terms of its correctness, accuracy, or reliability. In addition, Solinst does not make any representations or warranties as to the privacy or security of any information on SolinstCloud.com.

 

Indemnification

You are entirely responsible for maintaining the confidentiality and security of your account information and for all activities that occur under your account. You agree to indemnify, defend and hold Solinst and its providers harmless from and against any third-party claims, demands, actions, suits, proceedings, liabilities, damages, losses, judgments, and expenses, including but not limited to reasonable attorney fees, and other reasonable costs of defense resulting from or arising out of any breach of any of your representations, or misuse of SolinstCloud.com. You shall use your best effort to cooperate with Solinst in the defense of any claim.

 

Limitation of Liability

Under no circumstances, including negligence, shall Solinst be liable for any direct, indirect incidental, special or consequential damages that result from the use or inability to use any Solinst site or materials that function on any site, even if Solinst has been advised of the possibility of such damages. Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages so the above limitations may not apply to you. In no event shall our total liability for any damages, losses and causes of action, exceed an amount equal to the fees you paid to Solinst in the previous 12 months.
